Pai is currently in its early testing and pre-beta phase. These Terms of Service (and/or Privacy Policy) are provided for transparency and may be revised, expanded, or updated at any time prior to Pai's official public beta launch. Pai reserves the right to make such updates without prior notice as our features, compliance practices, and operational policies evolve.
Continued use of this website or participation in any pre-beta activity constitutes acceptance of these preliminary terms. The finalized Terms of Service and Privacy Policy will take effect and supersede this version upon the public beta launch.
1. Introduction
1.1 Who We Are
These Terms of Service ("Terms") form a legally binding agreement between you and The Paigow Wedding Venue LLC, a Texas limited liability company doing business as The Paigow and Pai ("Pai," "we," "us," or "our"). Pai operates virtually from Boerne, Texas, USA and provides its services throughout the United States.
By creating an account, accessing, or using Pai in any manner, you acknowledge that you have read, understood, and agree to be bound by these Terms, effective as of October 21, 2025. If you do not agree, you must not use Pai.
This service is offered by a U.S. company based in Texas, and these Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to conflict‑of‑law principles, unless otherwise stated below.
1.2 Agreement to Terms
Your use of Pai—including visiting our site, creating an account, or interacting with any planning tools, AI assistants, or communications features—constitutes acceptance of these Terms.
If you use Pai on behalf of another person (such as a partner or wedding planner), you represent and warrant that you are authorized to bind that person or entity to these Terms and that all information you provide is accurate, current, and complete.
Your use of Pai is also subject to our Privacy Policy, available at thepaigow.com/privacy, which explains how we collect, use, and safeguard personal information.
1.3 Description of the Pai Platform
Pai is an AI‑first wedding planning platform that helps couples organize every aspect of their wedding journey. Core features include personalized task lists, budgeting tools, guest and seating management, AI‑powered assistants (such as Pai Concierge, Wedding Whisperer, and Vow Writer), and hosted wedding websites.
Pai is a subscription‑based web application accessible at thepaigow.com and available exclusively to users located in the United States.
1.4 Permitted Use and Restrictions
Pai is intended solely for personal, non‑commercial use in connection with planning private wedding‑related events. You may not:
- Use Pai for any illegal, fraudulent, or unauthorized purpose;
- Access or use Pai in a manner that could damage, disable, or impair our systems;
- Attempt to reverse‑engineer, decompile, or otherwise derive source code from Pai;
- Resell, distribute, or exploit Pai's content or services for commercial gain; or
- Use Pai to collect or process data about others without their consent.
Violation of these restrictions may result in suspension or termination of your account and potential legal action.
1.5 Changes to These Terms
We may update these Terms from time to time to reflect changes in our business, applicable law, or available features. The most current version will always be posted at thepaigow.com/terms and will include a "Last Updated" date.
If material changes are made, you may be prompted to review and accept the revised Terms upon your next login. Continued use of Pai after such notice constitutes acceptance of the updated Terms.

2. Eligibility and Account Terms
2.1 Eligibility Requirements
Pai is intended solely for use by individuals who are eighteen (18) years of age or older and who reside within the United States. By creating an account, accessing, or using Pai in any manner, you represent and warrant that:
- You are at least eighteen (18) years old and have full legal capacity to enter into a binding contract;
- You are a resident of the United States and will use Pai only from within U.S. territory; and
- You are not prohibited from receiving services under any applicable law.
Pai does not knowingly permit use by minors. If Pai becomes aware that an account has been created by a minor, that account will be terminated immediately and all associated personal information deleted. No parental or guardian consent mechanism is available or accepted.
2.2 Account Creation and Accuracy of Information
To use Pai's features, you must create an account with a valid email address and password. Each couple may maintain one shared account for joint planning purposes; Pai does not currently support linked or multi-user sub-accounts. If two separate accounts are created, each is treated as an independent profile governed by these Terms.
You agree to provide accurate, complete, and current information when registering and to update your account promptly if that information changes. You may not impersonate another person or misrepresent your identity or relationship status. Pai reserves the right to verify information and to suspend or terminate any account containing materially false or misleading details.
2.3 Joint Responsibility for Shared Accounts
Because Pai allows couples to share a single login, both partners are deemed jointly and severally responsible for all activity conducted through that account. Any action taken by either partner—including adding or deleting guests, entering payment data, modifying settings, approving subscriptions, or interacting with Pai's AI assistants—will be treated as authorized by both partners.
If a dispute arises between partners regarding account control or data ownership, Pai may, in its sole discretion, (a) suspend access until the matter is resolved, (b) require written confirmation from both partners, or (c) terminate the account to prevent misuse. Pai is not liable for any losses or damages arising from disputes between partners.
2.4 Account Security and User Obligations
You are solely responsible for maintaining the confidentiality of your login credentials. You agree to:
- Keep your password secret and secure;
- Use strong, unique passwords not shared with other services;
- Maintain updated devices, operating systems, and browsers to protect against security vulnerabilities;
- Promptly notify Pai at connect@thepaigow.com if you suspect unauthorized access or compromise; and
- Accept and agree to the most recent version of these Terms when prompted before continued use of Pai.
Pai is not responsible for any loss or damage resulting from failure to comply with these obligations. Pai is also not liable for unauthorized access caused by user negligence, outdated software, or shared credentials. You remain responsible for all activity under your account until Pai confirms suspension or closure.
2.5 Dormant Accounts, Retention, and Deletion
Accounts showing no login activity for six (6) consecutive months will be flagged as inactive. Pai will make commercially reasonable efforts to provide at least thirty (30) days' notice to your registered email address before deletion. Failure to respond within that period authorizes Pai to complete the deletion process.
If no activity occurs for twelve (12) months, Pai will treat the account as dormant and will:
- Delete all personally identifiable information (PII)—including but not limited to names, email addresses, telephone numbers, physical addresses, payment information, and guest data;
- Retain non-identifiable, aggregated, or anonymized usage data indefinitely for analytical and service-improvement purposes; and
- Preserve system logs or records required by applicable law.
Chat history or interactions with Pai's AI assistants may be retained in anonymized form for operational analysis only. Such data will never be used to train predictive or generative models.
If your account is flagged as inactive, you may reactivate it by logging in within thirty (30) days of receiving notice, in which case all associated data will remain intact.
You may request account deletion at any time by emailing connect@thepaigow.com. Upon verified deletion, Pai will remove all PII within a commercially reasonable timeframe (generally within 30 days) and confirm completion by email.
2.6 Non-Transferability of Accounts
Your Pai account is personal, non-transferable, non-assignable, and may not be sold, leased, or shared with any third party outside your planning partnership. You may not assign these Terms or your rights or obligations under them without Pai's prior written consent. Any attempted assignment, transfer, or delegation by operation of law or otherwise without such consent is void and without effect. Pai may assign these Terms or any of its rights or obligations to an affiliate or successor entity without notice.
2.7 Compliance with Law and Applicable Policies
You agree to use Pai only in compliance with:
- These Terms and the Pai Privacy Policy (thepaigow.com/privacy);
- All applicable U.S. federal, state, and local laws, including privacy statutes such as the California Consumer Privacy Act (CCPA) and similar laws; and
- Any additional policies or guidelines Pai may issue.
Pai's services are not intended for use under non-U.S. privacy regimes such as the European Union's GDPR. If you access Pai from outside the United States, you do so at your own initiative and risk and are solely responsible for compliance with local law.
2.8 Violation, Suspension, and Termination
Any breach of this Section 2 or of any other obligation under these Terms constitutes grounds for immediate suspension or termination of your account under Section 8 (Termination and Suspension). Pai reserves the right to deny access to the Service to any person or entity for any reason permitted by law, at any time, without prior notice.
2.9 User Acknowledgements
By using Pai, you acknowledge and agree that you:
- Meet the eligibility criteria above;
- Have provided accurate and lawful information;
- Are responsible for maintaining the confidentiality and security of your account;
- Understand that inactivity may lead to deletion of personal data; and
- Accept that your continued use of Pai constitutes ongoing agreement to these Terms and any updates made available to you.
3. Subscriptions and Payments
3.1 Subscription Plans and Billing Cycles
Pai provides access to its platform through paid subscription plans that are billed on a recurring basis (the "Billing Period") and processed by Stripe, Pai's secure payment partner. Billing Period options include monthly, quarterly, and annual cycles, each charged in U.S. dollars. Longer Billing Periods are offered at a reduced per-month rate.
Recurring Billing Notice: By purchasing a subscription, you authorize Pai (through Stripe) to charge your payment method automatically at the start of each Billing Period until you cancel. Subscriptions automatically renew unless canceled before renewal. Pai will never auto-renew beyond your recorded wedding date.
All payments are due in advance of each Billing Period. You may upgrade or downgrade between plan tiers as described below. No refunds, partial credits, or pro-rated adjustments are provided for early cancellation or unused time except where required by law.
3.2 Free Beta Access and Trial Period
Pai may invite certain users to participate in a free beta period lasting up to twelve (12) months. Beta users receive complimentary access in exchange for product feedback and feature testing.
At the conclusion of the beta period, Pai will provide an email and in-app opt-in notice prior to the first charge. Beta users who do not actively subscribe will have their accounts suspended until they select a paid plan.
Pai may modify or discontinue beta access at any time. Beta access is offered "as is" without warranty of any kind and does not include guaranteed uptime, data retention, or continued availability.
3.3 Payment Processing, Taxes, and PCI Compliance
Pai uses Stripe, Inc. as its payment processor. Pai does not collect or store credit-card data directly. Stripe is certified as a PCI-DSS Level 1 compliant service provider. By submitting payment information, you authorize Stripe to charge your designated payment method on Pai's behalf.
All prices are exclusive of applicable taxes. Taxes will be calculated automatically at checkout and collected by Stripe based on your jurisdiction. You are responsible for paying all federal, state, or local taxes, fees, or assessments associated with your use of Pai's services.
Pai is not responsible for acts or omissions by Stripe. Your payment and billing information are governed by Stripe's own Terms of Service and Privacy Policy at https://stripe.com/legal.
3.4 Renewals, Downgrades, and Price Changes
Subscriptions automatically renew for successive Billing Periods unless canceled before renewal. Pai will send a renewal reminder email and in-app notice prior to each renewal date.
If your wedding date recorded in Pai occurs before the next renewal, Pai will automatically cancel renewal after that event date, ensuring that no further billing occurs beyond your wedding.
Pai reserves the right to modify pricing at any time. Any change in subscription rates will take effect at the start of a new Billing Period and after at least thirty (30) days' prior notice by email and/or in-app notification. Continued use of Pai after notice of a price change constitutes acceptance of the new rate.
Plan Downgrades: If you downgrade your plan, your account will retain all stored data, but certain features may become unavailable. Downgrades take effect at the end of the current Billing Period.
3.5 Cancellations, Refunds, and Consumer Protections
You may cancel your subscription at any time through your Pai account settings. Cancellation becomes effective at the end of the current Billing Period. You will continue to have full access to Pai until that date.
Refund Policy: All payments are final and non-refundable, except (a) where required by applicable consumer law, or (b) if Pai, in its sole discretion, determines that a refund is warranted due to verified double billing, extended technical outages, or other extraordinary circumstances. Refund requests may be submitted to connect@thepaigow.com.
Pai complies with the Texas Deceptive Trade Practices Act (DTPA) and all similar U.S. consumer-protection laws. Maintaining consistent, transparent pricing for all couples helps ensure fairness across users.
3.6 Failed Payments and Chargebacks
If a recurring payment fails, Stripe will attempt to reprocess the charge up to three (3) times over a seven (7)-day grace period. If all attempts fail or a chargeback is initiated, Pai may:
- Immediately suspend or restrict your account;
- Require updated payment information before reinstatement;
- Charge a reasonable reactivation or processing fee; and
- Terminate your subscription for non-payment if unresolved.
During suspension, your account and data may become inaccessible. Pai is not obligated to preserve your data during non-payment periods. Restoration occurs only after successful payment of all outstanding amounts.
3.7 Invoices, Receipts, and Billing Support
After each successful payment, an email receipt will be sent to your registered address, and a billing history will be available within your Pai account dashboard. Users may request invoice copies or billing assistance by emailing connect@thepaigow.com. Pai will make commercially reasonable efforts to respond to billing inquiries within seven (7) business days.
3.8 Promotional Codes and Discounts
Pai may issue promotional discounts, coupon codes, or limited-time offers at its discretion. Such promotions are non-transferable, have no cash value, and are subject to specific terms disclosed at issuance. Pai reserves the right to modify or withdraw promotions at any time.
3.9 Currency, Jurisdiction, and Governing Law
All subscription fees are payable in United States dollars (USD). Payment obligations and billing disputes are governed by the laws of the State of Texas, without regard to conflict-of-law principles.
Pai's failure to enforce any payment provision does not constitute a waiver of its rights. All payments must be made in full without deduction, offset, or withholding, except as required by law.
3.10 Data Retention After Cancellation
Upon cancellation or termination of your subscription:
- Pai will immediately delete all personally identifiable information (PII), including names, emails, phone numbers, physical addresses, and guest records;
- Pai may retain non-identifiable usage data—such as anonymized analytics, AI prompts, and aggregate metrics—for up to twelve (12) months solely for operational, security, and statistical purposes;
- All retained data will remain anonymized and will never be used to train predictive or generative AI models; and
- After twelve (12) months, Pai may permanently delete or further anonymize all remaining data at its discretion.
4. Privacy and Data Protection
4.1 Overview and Commitment
Your privacy matters. Pai is committed to protecting the confidentiality, integrity, and security of the information entrusted to us. This section summarizes our privacy and data-protection practices and should be read together with the separate Pai Privacy Policy at thepaigow.com/privacy, which governs if inconsistencies arise.
By using Pai, you consent to the collection, use, and processing of information as described here and in our Privacy Policy. Pai complies with applicable United States privacy and consumer-protection laws, including the California Consumer Privacy Act (CCPA) and the Texas Data Privacy and Security Act, and treats personal data in accordance with generally accepted U.S. standards. Pai does not represent compliance with or applicability of foreign regimes such as the EU GDPR.
4.2 Categories of Data Collected
Pai may collect and process the following categories of information ("Personal Information" or "PII"):
- Account information (names, email addresses, phone numbers).
- Wedding and event details (dates, venues, preferences).
- Guest information entered by users (names, emails, addresses, phone numbers).
- Payment identifiers processed by Stripe.
- Session data, cookies, device identifiers, and usage logs.
- AI interaction transcripts and task-completion data.
- Aggregated analytics on platform activity and feature adoption.
Pai does not knowingly collect data from individuals under 18 years of age.
4.3 Data Hosting and Security Infrastructure
Pai's production databases and file storage are hosted in the United States using Supabase infrastructure. All data is transmitted via encrypted HTTPS and stored using AES-256 or stronger encryption at rest.
Pai encrypts certain personal information (name, email) using AES-256 encryption before storage. Your IP address is collected for security purposes but is not encrypted. By using our Service, you acknowledge and consent to our data handling practices as outlined in our Privacy Policy.
Pai and its subprocessors are bound by written Data-Processing Agreements requiring equivalent protection. Pai acts as the data controller for all personal information collected.
Access to production data is limited to authorized employees and contractors who have signed confidentiality and intellectual-property agreements. Access is role-based and logged through auditable trails.
Pai employs commercially reasonable administrative, technical, and physical safeguards, including secure passwords, multi-factor authentication, regular access reviews, and vulnerability-management processes aligned with SOC 2 Type I controls.
Although Pai uses advanced safeguards, no system is 100 percent secure. Pai therefore cannot guarantee absolute protection but commits to maintaining and continually improving its security posture.
4.4 Purpose of Data Use
Pai uses personal information to:
- Provide and maintain Pai's features and AI-assisted planning tools.
- Communicate with users about updates, billing, and support.
- Process payments through Stripe.
- Analyze anonymized usage patterns to improve functionality.
- Detect and prevent fraud or unauthorized activity.
- Comply with legal obligations or enforce these Terms.
Pai may publish or share aggregated, anonymized statistics (for example, average RSVP rates) for marketing or product insight. Such data cannot identify individual users or guests. Pai never uses guest data for marketing communications.
Analytics and Browser Signals: By creating an account and using Pai's platform, you consent to the collection of analytics data necessary to operate, secure, and improve the Service. This collection occurs regardless of your browser's "Do Not Track" (DNT) setting because it is required to fulfill the service agreement you have entered into under these Terms. Pai respects the DNT browser signal for website visitors. When DNT is enabled, we disable all analytics tracking on our marketing pages. Logged-in platform users agree to operational data collection as a condition of service use, as described in the Privacy Policy.
4.5 Cookies and Local Storage
Pai uses cookies and local storage for authentication, analytics, and personalization. Cookies never store sensitive information such as passwords or payment data. You can disable cookies in your browser, though some functionality may be limited.
4.6 AI Interaction Data
Pai may store and review anonymized AI-assistant interactions for quality assurance and product improvement. These records are analyzed only in aggregate and are never used to train predictive or generative AI models.
4.7 Data Retention and Deletion
Pai retains information only as long as necessary for its stated purposes.
- Active accounts: Data retained for the subscription term.
- Inactive accounts: PII deleted within 12 months of inactivity (see Section 2.5).
- User requests: Pai removes verified PII within 30 days of a deletion request.
- Anonymized data: Non-identifiable usage data may be kept indefinitely for analytics.
Users may export or download their data upon request by emailing connect@thepaigow.com. All deletions are logged internally for audit purposes.
4.8 Data Sharing and Third-Party Processors
Pai shares information only with vendors essential to operations, including:
- Supabase (database and authentication);
- Stripe (payment processing and tax collection);
- Vercel (web hosting and delivery); and
- Render / Railway (backend deployment).
These vendors process data solely under Pai's direction and may not use it for their own purposes. Pai does not sell, rent, or exchange personal information. Data may be disclosed when required by law or to protect Pai's rights or users' safety.
4.9 Incident Response and Breach Notification
Pai maintains an incident-response program consistent with U.S. best practices. In the event of a confirmed data breach involving personal information, Pai will notify affected users without undue delay and in no case later than seven (7) days after discovery, consistent with state notification laws. Notices will describe the nature of the breach, affected data, and recommended user actions.
4.10 User Rights and Requests
Subject to applicable law, users may:
- Request access to or copies of their data.
- Request correction of inaccurate information.
- Request deletion of personal information.
Requests should be sent to connect@thepaigow.com. Pai will verify identity before fulfilling a request and will respond within the timeframe required by law.
4.11 Third-Party Links and External Content
Pai may allow users to include external links (for example, Pinterest or social-media pages). Pai is not responsible for the privacy, content, or security of external websites. Users should review each site's own privacy policy before sharing information.
4.12 Security Audits and Ongoing Compliance
Pai conducts annual internal security reviews aligned with SOC 2 Type I principles and plans a third-party external audit in early-to-mid 2026 to validate Supabase role-based controls, encryption, and RLS policies. Results will inform continual improvements to Pai's security and compliance programs.
5. AI Features and Disclaimers
5.1 Overview and Purpose
Our AI tools are designed to spark ideas, not replace your decisions. Pai's AI-powered features aim to inspire creativity, simplify planning, and reduce the stress of wedding preparation by providing personalized recommendations and smart task support based on your preferences and progress.
Pai's AI capabilities include Pai Concierge, Wedding Whisperer, Vow Writer, and related extensions (collectively, the "AI Features"). These tools generate automated suggestions, creative writing, and planning insights solely for your individual use. All AI outputs remain private to your account and are never shared with others unless you choose to share them.
By using Pai's AI Features, you understand that these tools are experimental technologies provided for informational and creative purposes only and are not a substitute for professional judgment, human expertise, or independent verification.
5.2 How Pai's AI Works
Pai's AI Features combine Pai's proprietary prompt-engineering logic with OpenAI's API (acting as Pai's subprocesser) to generate text-based recommendations and creative assistance. The AI system uses only the data you provide—such as your wedding details, preferences, task progress, and questionnaire responses—to tailor its responses.
Pai's AI Features do not access, share, or learn from other couples' data, regional statistics, or external datasets. Every prompt and response is individualized to your session and account.
Pai's systems transmit all requests securely over encrypted HTTPS connections. Pai's API key is private and accessible only to authorized Pai employees and contractors, each bound by confidentiality and intellectual-property agreements.
Pai may review anonymized outputs internally to improve moderation and performance, but these reviews never include personal identifiers or user-linked content.
5.3 Data Use and Retention for AI Features
Pai may retain anonymized AI interaction logs and metadata (such as timestamps, prompt categories, and usage trends) for as long as necessary to improve feature quality, detect errors, and ensure security.
Each record is associated only with an internal UUID and never with identifiable user data after account deletion or inactivity beyond twelve (12) months. The mapping between user identity and AI interaction records is permanently destroyed after that period.
Pai's AI systems use only your own data to personalize responses. No cross-couple or aggregated training occurs. Pai does not train any internal or third-party models using user content.
5.4 OpenAI API Disclosure and Data-Processing Agreement
Pai uses the OpenAI API to generate AI outputs. By engaging with Pai's AI Features, you authorize Pai to securely transmit anonymized prompts and contextual data to OpenAI for text generation purposes.
Pai maintains a Data-Processing Agreement (DPA) with OpenAI to ensure that all personal information is processed under equivalent protections consistent with U.S. privacy law and OpenAI's Terms of Use and Privacy Policy.
Pai may conduct periodic human review of anonymized responses to ensure compliance and output safety. All reviews occur under confidentiality and quality-assurance protocols.
5.5 User Consent and Automated Processing
By using Pai's AI Features, you provide explicit consent for the automated processing of your prompts, data, and profile information. You acknowledge that AI responses are generated by automated systems without human oversight and that you remain responsible for reviewing all outputs before relying on or sharing them.
All AI-generated content within Pai is clearly labeled as "Generated by Pai AI" in the interface to ensure transparency.
5.6 Ownership of AI-Generated Content
Users may use, save, and share AI-generated content (including text, creative writing, or suggestions) solely for personal, non-commercial purposes related to their wedding.
Pai grants users a limited, non-exclusive, non-transferable license to use AI-generated outputs for individual event planning. Users may not sell, license, or otherwise monetize AI-generated content. Pai retains ownership of the underlying technology, models, and prompts that generate such content.
To the extent required by OpenAI's API Terms, users acknowledge that OpenAI retains residual rights in its model architecture and training systems.
5.7 Accuracy, Advice Limitations, and Warranties
AI-generated content ("AI Outputs") may contain inaccuracies, incomplete information, or contextual bias. Pai's AI is experimental and does not guarantee factual accuracy, reliability, or completeness.
AI Outputs should not be relied upon as:
- Legal, financial, or contractual advice;
- Emotional, relationship, or psychological counseling;
- Professional or vendor recommendations; or
- Any other form of authoritative guidance.
Pai expressly disclaims all warranties, whether express or implied, including any implied warranties of merchantability, non-infringement, or fitness for a particular purpose.
Users are solely responsible for reviewing, verifying, and validating any AI-generated content before use or publication.
5.8 Bias, Cultural, and Contextual Limitations
Like all large language models, Pai's AI may reflect limitations, biases, or cultural assumptions inherent to the data on which its underlying models were trained.
Pai does not represent or guarantee that all outputs will be culturally neutral, regionally accurate, or appropriate for every user's beliefs or traditions. Couples are encouraged to review, modify, and personalize AI Outputs to reflect their unique preferences and context.
Pai periodically tests AI performance to assess fairness, accuracy, and inclusivity as part of its ethical-review process.
5.9 Ethical Use and Prohibited Conduct
Users may not use Pai's AI Features to:
- Generate content that is unlawful, defamatory, harassing, obscene, or discriminatory;
- Create or share outputs that infringe copyrights or violate intellectual-property or privacy laws;
- Impersonate individuals or misrepresent identities; or
- Attempt to reverse-engineer, extract, or misuse Pai's AI systems or prompts.
Pai reserves the right to monitor anonymized AI usage trends and suspend or terminate accounts found to violate this provision or to misuse AI-generated content.
5.10 Public Sharing and Brand Integrity
Users may share AI-generated content publicly (e.g., social media posts, screenshots, or samples) provided such sharing does not misrepresent Pai's capabilities, include misleading edits, or damage Pai's reputation.
Responsible sharing is encouraged. However, Pai may take corrective action—including suspension or removal—against users who intentionally distribute AI Outputs in a way that causes brand harm or public confusion about Pai's tools.
Users may reference Pai by name publicly when sharing AI Outputs so long as the context remains fair, accurate, and non-deceptive.
5.11 AI Ethics and Fairness Statement

5.12 Liability, Indemnity, and User Responsibility
All AI-generated content is provided "as is" without warranties of any kind. Pai is not liable for damages, losses, or claims arising from reliance on AI Outputs or misuse of the AI Features.
Users agree to indemnify and hold harmless The Paigow, its officers, employees, and contractors from any claims, damages, or liabilities resulting from:
- Misuse of AI Features;
- Violation of these Terms; or
- Publication or distribution of AI-generated content that infringes third-party rights or causes reputational harm.
5.13 Retention, Audit, and Compliance
Pai retains anonymized AI logs indefinitely for internal analysis, quality improvement, and compliance review. Personal identifiers linked to these records are permanently removed within twelve (12) months of account deletion or inactivity.
Pai conducts annual internal AI compliance reviews aligned with SOC 2 Type I principles and will include its AI systems in the upcoming external security and ethics audit planned for early-to-mid 2026.
6. User Content and Intellectual Property
6.1 Overview and Purpose
We respect that your wedding details, notes, and guest lists belong to you. Pai is committed to protecting your information while preserving the intellectual property, patents, trademarks, and creative assets that make Pai unique.
Pai™ is a trademark of The Paigow Wedding Venue LLC and is trademark pending with the United States Patent and Trademark Office. Pai's proprietary software and AI-assisted wedding planning workflows are patent pending. All rights not expressly granted are reserved.
6.2 Definitions
For clarity:
"User Content" means any text, notes, guest details, preferences, questionnaire responses, or links entered by users, including through Pai Concierge or other AI tools.
"Pai Intellectual Property" includes all software, source code, system design, AI models, trademarks, patents (pending or issued), graphics, text, and proprietary workflows owned by Pai.
"Feedback" means ideas, feature suggestions, or improvements submitted by users or beta participants.
6.3 Ownership and License of User Content
You own all User Content you create or upload to Pai. By using the platform, you grant Pai a limited, non-exclusive, worldwide, royalty-free license to host, store, reproduce, and process your User Content solely for the purpose of operating and improving Pai's services.
This license allows Pai to:
- Operate and maintain the platform.
- Display and process content to generate personalized recommendations.
- Create anonymized examples or statistics for performance improvement.
This license ends upon account deletion, except as necessary for data backup and lawful retention. The license survives only as long as required for Pai's system backups to purge or anonymize your data, generally within thirty (30) days of deletion.
You own your wedding data; Pai never sells or publicly shares it.
6.4 Limited Marketing and Demonstration Use
Pai may use anonymized screenshots, examples, or illustrations that demonstrate platform features (such as planning timelines or sample guest workflows) for educational or marketing purposes. Such examples will never include personal or identifiable information.
For instance, Pai might show an anonymized example of "average guest RSVP response rates" but will not use your real data or event details.
6.5 Feedback and Suggestions
When you submit Feedback or feature ideas to Pai, you assign all rights, title, and interest in such Feedback to Pai. Pai may use, reproduce, and commercialize these ideas without obligation or compensation to you.
Pai owns all derivative works or implementations created from such Feedback. This helps Pai continuously improve the service without restrictions.
6.6 Guest Data Handling
Guests cannot upload files or content. Guests may only interact through automated Pai messages—for example, replying with an address or RSVP. Such communications are securely stored and associated with the couple's account.
Couples are responsible for ensuring their guests' data is shared with consent and complies with applicable privacy laws. Pai processes guest data solely to provide the wedding-planning services and never uses it for marketing or profiling.
6.7 Trademarks, Brand Protection, and Patent Notice
All Pai trademarks, designs, and logos are protected by intellectual property laws.
- You may not use Pai's name, logos, or brand assets in advertising, websites, or materials without Pai's written consent.
- You may not imply affiliation or endorsement with Pai without authorization.
- Pai™ and The Paigow™ are trademark pending, and Pai's proprietary AI and workflows are patent pending.
- All related technology, trade secrets, and content remain the property of The Paigow.
6.8 Derivative Works and AI Outputs
Any AI-generated content or derivative work created through Pai's AI Features (as described in Section 5) is licensed to users for personal, non-commercial use only.
You may:
- Print or share AI-generated content (e.g., vows, messages, creative writing) for personal use.
- Include AI outputs in your printed wedding materials, invitations, or programs.
You may not sell, license, distribute commercially, or otherwise monetize AI-generated content or derivative works.
6.9 User Warranties and Indemnification
You represent and warrant that:
- You own or have lawful rights to all User Content you enter.
- Your use of Pai and User Content will not infringe third-party rights.
- Your actions comply with applicable laws.
You agree to indemnify and hold harmless The Paigow, its officers, employees, and affiliates from any claim, loss, or expense arising from:
- Misuse of Pai or violation of these Terms.
- Unauthorized submission of content.
- Any third-party claims involving data or intellectual property.
6.10 Post-Termination and Data Retention
When you delete your account, Pai immediately deletes all personally identifiable information (PII) in accordance with Section 4.7. Anonymized or encrypted system data may be retained for up to thirty (30) days solely for system integrity and disaster recovery.
Pai retains no access to personally identifiable information after deletion. Any residual system data remains de-identified and cannot be used to trace individual users.
6.11 Pai's Proprietary Rights
Pai retains exclusive ownership of all Pai Intellectual Property, including:
- Platform architecture, databases, UI/UX design, and code.
- AI prompt structures, algorithms, and workflows.
- The Pai™ and The Paigow™ brand assets, domain names, and visual identity.
- All proprietary technology and business processes under patent pending protection.
Pai's IP is protected under trade secret, copyright, trademark, and patent laws. You may not reverse-engineer, copy, or use Pai's systems or content to develop derivative or competing products.
6.12 Non-Competition Restriction
To protect Pai's trade secrets and proprietary workflows, users agree that, to the extent permitted under Texas law, they will not, for a period of two (2) years following their last use of Pai, directly or indirectly develop, market, or commercially release a competing wedding-planning platform that substantially mimics Pai's core functionality or user experience.
This clause is intended to deter unfair competition and applies only within the bounds of enforceable law.
6.13 DMCA Notice and Counter-Notice Procedure
Pai complies with the Digital Millennium Copyright Act (DMCA). If you believe that content hosted on Pai infringes your copyright, submit a notice containing:
- Your full legal name, address, and signature.
- Identification of the copyrighted work and the infringing material.
- A statement that you have a good faith belief the use is unauthorized.
- A statement, under penalty of perjury, that the notice is accurate.

Pai's handling of intellectual property and data aligns with SOC 2 Type I controls and internal audit practices. Future external audits (targeted for 2026) will validate Pai's IP protection and data-governance standards
7. Acceptable Use Policy (AUP)
7.1 Overview and Intent
Pai is designed for celebration and kindness. Our goal is to make planning your wedding joyful, collaborative, and safe. This Acceptable Use Policy defines how you, your guests, and anyone using Pai should behave while using the platform. By using Pai, you agree to follow these standards and act in good faith toward others.
Plain Language Summary: Be kind, be safe, and use Pai to celebrate — not to sell, spam, or harm.
Pai may restrict, suspend, or terminate any account, at its sole discretion, if activity violates this Policy, these Terms, or Pai's community values.
7.2 Community Trust
Pai's community is built on respect, privacy, and positive connection. We ask every user to help maintain a welcoming and inclusive space by:
- Treating others with courtesy and kindness.
- Using Pai's communication tools to coordinate and celebrate — not criticize, shame, or harass.
- Protecting guest privacy and honoring consent before sharing personal details.
- Reporting behavior that threatens safety or violates this Policy.
We want Pai to remain a place where couples can plan freely and joyfully while feeling confident their information and guests are safe.
7.3 General Conduct
You agree to use Pai solely for its intended purpose — to plan, manage, and coordinate wedding-related activities for yourself or someone you are authorized to assist.
You agree not to misuse Pai in any way that:
- Harms other users, guests, or Pai's reputation.
- Disrupts normal platform operations.
- Violates laws, regulations, or third-party rights.
- Infringes Pai's intellectual property or trademarks.
- Circumvents account restrictions, suspensions, or system controls (including through VPNs, alternate accounts, or false identities).
7.4 Prohibited Activities
The following conduct is strictly prohibited:
- Illegal Activity: Any use of Pai for unlawful, fraudulent, or deceptive purposes.
- Harassment or Hate Speech: Discriminatory, abusive, defamatory, obscene, or threatening language or content.
- PII Misuse: Collecting, sharing, or exposing guest data without consent.
- Account Sharing Abuse: Selling or transferring accounts without authorization.
- Solicitation or Advertising: Promoting third-party products, services, or events without written permission.
- Misrepresentation: Implying affiliation, sponsorship, or endorsement by Pai without consent.
- Malicious Links or Software: Uploading or sharing harmful, misleading, or malicious content.
- Automation or Bots: Using scripts or bots to access or interact with Pai without authorization.
- Security Interference: Attempting to test, bypass, or exploit Pai's systems or networks.
- Reverse Engineering: Replicating, modifying, or creating derivatives of Pai's features or code.
- Resale or Monetization: Commercializing Pai's services or AI-generated content.
- Unlawful Conduct: Engaging in behavior that violates applicable local or federal laws.
Pai may investigate suspected violations and take appropriate action, including suspension or referral to law enforcement.
7.5 Communication and Messaging Use
Pai allows couples to communicate with guests directly via messaging tools or group chats (e.g., "all guests," "specific guests," or "table chats"). These features are designed to simplify communication while protecting everyone's privacy.
Users agree that:
- Messages must relate to event planning, coordination, or celebration.
- Spam, bulk messages, or unsolicited promotions are prohibited.
- Group chats must remain respectful and appropriate for all recipients.
- Guests may reply only through approved Pai channels; they cannot access the internal Pai Concierge.
- Users are responsible for all message content sent through Pai.
Pai does not read personal messages, except when legally required or when a credible abuse report is submitted. Pai may analyze anonymized metadata (e.g., message volume, frequency) for security, spam prevention, and system improvement.
7.6 Technical Restrictions
Users agree not to:
- Access Pai in ways that exceed authorization or intended use.
- Interfere with Pai's infrastructure, data, or performance.
- Circumvent security or authentication mechanisms.
- Upload code, malware, or content designed to harm the system or other users.
- Use automation, scraping, or crawling tools without express authorization.
Pai actively monitors for malicious behavior and may restrict or block offending accounts or IP addresses without notice.
7.7 Content Restrictions
You may not create, upload, or share content that:
- Is defamatory, discriminatory, obscene, or harassing.
- Encourages or depicts violence, fraud, or illegal conduct.
- Spreads misinformation, scams, or spam.
- Violates intellectual property rights or uses copyrighted material without permission.
- Reveals or misuses private or guest information.
- Damages Pai's reputation or misrepresents the platform.
Pai reserves the right to remove any content violating these standards or to restrict accounts posting such material.
7.8 Brand and Trademark Use
Users may not:
- Use Pai's name, logo, or trademarks to imply sponsorship or affiliation.
- Display or alter Pai's marks in social media, ads, or promotional materials without consent.
- Represent themselves as Pai employees or affiliates.
Pai's trademarks and brand are protected under U.S. and international law. Unauthorized use may result in enforcement or termination.
7.9 External Links and Integrations
Users may include external links (e.g., Pinterest, Instagram) only if:
- The link is relevant and safe.
- The linked site is accurate, legal, and appropriate.
- It does not lead to malware, spam, or deceptive material.
Pai may automatically scan links for safety and reserves the right to remove or disable any link that fails these standards.
7.10 Account Responsibility and Access Control
- Each Pai account is intended for use by a single couple.
- Couples may permit limited access to trusted individuals (e.g., planners) at their own discretion.
- Pai does not monitor or verify account-sharing activity but assumes account activity is authorized by the couple.
- You are responsible for maintaining password security and preventing unauthorized access.
- Pai is not liable for losses or misuse resulting from credential sharing.
7.11 Enforcement and Suspension
Pai may, at its sole discretion, suspend or terminate any account or restrict features at any time, including but not limited to when:
- A user violates this Acceptable Use Policy or other Terms.
- Behavior threatens platform security or brand integrity.
- Pai receives legal or regulatory notice requiring action.
Pai may, but is not obligated to, notify users before or after suspension. Accounts may lose access immediately, and associated data may be deleted if violations are severe.
Suspension does not release users from outstanding payment obligations or liabilities incurred prior to suspension.
7.12 Monitoring, Automation, and Enforcement
Pai may use automated tools and internal reviews to detect and prevent misuse. However, Pai does not actively monitor all content or user activity.
Pai maintains a centralized audit log of enforcement actions to ensure fairness and accountability in applying this Policy.
7.13 Cooperation with Law Enforcement
Pai cooperates with lawful requests from law-enforcement or regulatory agencies investigating fraud, threats, or illegal activity.
Pai will only share information as legally required and will safeguard user privacy and trade secrets during such cooperation.
7.14 Reporting Violations
Pai encourages users to report abuse, harassment, or suspicious behavior.
To report a violation, email connect@thepaigow.com or submit a ticket through the in-app reporting form. Pai investigates all reports confidentially and may take immediate action when safety or integrity is at risk.

8. Termination and Suspension
8.1 Purpose and Overview
Pai understands that weddings are emotional and deeply personal events, and we strive to approach every account issue with fairness and respect. This section explains when and how you or Pai may suspend or end access to Pai's services, what happens to your data, and which obligations continue beyond termination. Pai acts to protect all couples using the platform and to maintain a safe, respectful, and compliant community for everyone. We enforce these rules consistently and in good faith, always balancing safety, accountability, and compassion.
Pai reserves the right to suspend or terminate accounts when necessary to protect its users, ensure compliance with law, or preserve the integrity of the Pai platform. Whenever possible, Pai will communicate clearly and respectfully about any enforcement actions.
8.2 User-Initiated Termination
Couples may request account deletion at any time by emailing connect@thepaigow.com from the email address linked to their Pai account.
When Pai receives a valid deletion request:
- Personally identifiable information (PII) will be deleted within thirty (30) days.
- Pai may retain anonymized or aggregated data for internal analysis, security, and lawful recordkeeping under Section 4 (Privacy and Data Protection).
- Pai will confirm once deletion is complete.
If a couple does not manually delete their account, Pai will automatically delete or anonymize it within twelve (12) months of:
- The couple's wedding date,
- Twelve (12) consecutive months of inactivity, or
- Twelve (12) months after a non-renewed subscription expires.
Users are encouraged to export or download any data they wish to retain before deletion. Once deletion occurs, it cannot be reversed.
8.3 Pai-Initiated Suspension or Termination
Pai may, at its sole discretion, suspend or terminate any account or access, immediately or after notice, when:
- A user violates these Terms, the Acceptable Use Policy (Section 7), or applicable law.
- Activity threatens the security, operation, or reputation of Pai or its community.
- Payment is delinquent, reversed, or disputed.
- Pai receives legal, regulatory, or court instruction requiring action.
- Fraudulent, abusive, or deceptive activity is detected.
- Technical maintenance or security incidents require temporary limitation of access.
- Pai reasonably believes a user is acting in bad faith to damage the company, disrupt service, misrepresent the platform, or misuse the product.
Pai's determinations under this section are final and made in good faith. Termination does not waive Pai's right to recover damages for prior misconduct. Users agree to cooperate with Pai in any reasonable investigation of account activity related to suspension or termination.
8.4 Notice and Effect of Termination
Pai will normally send notice of suspension or termination to the registered account email and display a notification on the login screen. Suspension temporarily restricts access, while termination permanently ends it. In urgent cases involving legal, technical, or safety risks, Pai may act without advance notice.
When access is suspended, Pai may review appeals and, at its discretion, reinstate accounts if the issue is resolved. Terminated accounts are permanently closed, and associated data enters the deletion process described in Section 8.6.
Termination or suspension does not release users from any outstanding payment obligations or liabilities incurred before action is taken.
8.5 Appeals and Reinstatement
Suspended users may request review by replying to the notification email or contacting connect@thepaigow.com within seven (7) days. Pai will review each request individually and respond in good faith. Reinstatement may occur at Pai's sole discretion if the violation is resolved or deemed unintentional. Pai's decisions are final and not subject to further appeal.
8.6 Refunds and Payment Obligations
All payments are non-refundable except where required by law. If Pai terminates an account due to technical failure or legal mandate unrelated to user conduct, Pai may offer a partial refund or credit at its discretion.
Refund requests for exceptional cases can be sent to connect@thepaigow.com within seven (7) business days of termination. Pai will respond within seven (7) business days. Pai will act in accordance with applicable law when reviewing such requests.
Users remain responsible for any unpaid charges or balances incurred before termination, and Pai reserves the right to collect outstanding fees.
8.7 Data Retention and Deletion After Termination
After termination, Pai immediately removes personally identifiable information (PII) from production systems and deletes encrypted backups containing PII within thirty (30) days. Pai may retain anonymized logs and operational records indefinitely for security, performance analysis, or legal compliance, consistent with Pai's SOC 2-aligned data governance practices.
If termination occurs due to confirmed misconduct, Pai may preserve minimal metadata or evidence (e.g., IP addresses, payment logs) to defend against future claims or investigations.
8.8 Survival of Obligations
Termination or deletion does not eliminate obligations that, by nature or statement, continue beyond termination. These include:
- Intellectual property rights (Section 6),
- Indemnification (Section 6.9),
- Outstanding payment obligations (Section 8.6),
- Limitations of liability and disclaimers (Section 9), and
- Dispute resolution and governing law (Section 10).
These terms remain enforceable to ensure Pai's legal continuity and protection.
8.9 Preservation for Legal or Security Purposes
Pai may retain anonymized logs, payment metadata, or internal records solely for compliance, fraud prevention, or dispute resolution. Access to such data is restricted to authorized Pai personnel operating under confidentiality and data-protection standards.
8.10 Good-Faith Enforcement and Community Commitment
Pai enforces rules to protect all couples using the platform and ensure a safe, respectful environment for planning. We recognize that weddings are emotional, and misunderstandings can occur, but Pai enforces policies consistently and with care for all users.
Pai's goal is always resolution, not punishment. Enforcement decisions are guided by fairness, safety, and transparency, in accordance with law and Pai's community values.
9. Limitation of Liability and Disclaimers
9.1 Purpose and Intent
This section defines the limits of Pai's legal responsibility to users and clarifies the terms under which Pai operates. Pai is a digital wedding planning tool created to help couples organize, visualize, and manage their events. Pai does not act as a wedding planner, coordinator, consultant, or agent for any couple or vendor. All event contracts, bookings, and arrangements remain solely between the couple and their chosen vendors.
While Pai strives to provide a reliable, secure, and enjoyable experience, all software carries inherent risks. Pai provides its services "as-is" and "as-available," without promises or guarantees beyond those expressly stated in these Terms. By using Pai, you acknowledge that wedding outcomes depend on independent decisions, vendors, and factors beyond Pai's control.
These limitations are fundamental to Pai's ability to offer affordable and accessible technology and form an essential basis of the agreement between you and Pai.
9.2 No Warranty
To the maximum extent permitted by applicable law, Pai disclaims all warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, accuracy, reliability, or non-infringement.
Pai does not warrant that:
- The platform, its AI tools, or any generated content will be error-free, uninterrupted, secure, or accurate.
- Pai will meet all user expectations or produce specific outcomes.
- Any information, recommendations, or outputs are complete, correct, or free from delay.
- Pai will prevent all service interruptions, data loss, or technical failures.
All services are provided on an "as-is" and "as-available" basis. You use Pai entirely at your own risk and discretion.
9.3 Service Interruptions and Data Risks
Pai does not guarantee continuous or error-free access to its services. Planned maintenance, network interruptions, or unforeseen system issues may occur. Pai is not responsible for any data loss, delay, or interruption caused by such events.
Pai takes commercially reasonable measures to safeguard data; however, no system can be entirely free from error or failure. Pai shall not be held liable for service delays, outages, or data disruptions, whether or not foreseeable. Pai shall not be responsible for any failure to perform due to causes beyond its reasonable control, including but not limited to natural disasters, labor disputes, acts of government, internet outages, or force majeure events.
9.4 AI and Professional Advice Disclaimer
Pai's AI features, including Pai Concierge, are designed to offer creative inspiration, personalized planning suggestions, and organizational support. AI-generated outputs are not, and must not be interpreted as, legal, financial, emotional, medical, therapeutic, religious, or political advice.
Pai's AI tools are not substitutes for professional guidance. Couples remain solely responsible for all decisions regarding contracts, budgeting, and event execution. Users are encouraged to consult qualified professionals when making important decisions.
Pai does not guarantee factual accuracy, suitability, or completeness of any AI-generated output and assumes no responsibility for any reliance on such content.
9.5 Third-Party and Integration Disclaimer
Pai may integrate or interoperate with third-party services such as Supabase, Stripe, Render, React, and Vercel. These third parties are governed by their own terms and privacy policies.
Pai disclaims all liability for:
- Errors, outages, or data issues caused by third-party systems.
- Failures or breaches within third-party data-handling or payment systems.
- External links, URLs, or content provided or added by users.
Pai is not responsible for third-party performance or actions and does not guarantee compatibility or availability.
9.6 Limitation of Liability Cap
To the fullest extent permitted by law, Pai's total aggregate liability for any and all claims arising from or related to your use of Pai's services, whether in contract, tort, negligence, or otherwise, shall not exceed the greater of:
- The total amount paid by the user to Pai in the twelve (12) months preceding the event giving rise to the claim, or
- One hundred U.S. dollars ($100).
This limitation applies collectively to all claims in aggregate, regardless of their nature or basis, and whether or not Pai could have foreseen the possibility of such damages.
9.7 Exclusion of Certain Damages
To the maximum extent permitted by law, Pai and its officers, employees, affiliates, and agents shall not be liable for any:
- Indirect, consequential, incidental, special, exemplary, or punitive damages.
- Loss of data, revenue, profits, goodwill, or opportunities.
- Service interruptions, communication delays, or corrupted data.
- Personal or emotional distress, disappointment, or perceived "wedding disruption."
- Errors, omissions, or inaccuracies in data or recommendations.
- Unauthorized access to or alteration of transmissions or stored information.
These exclusions apply even if Pai has been advised of the possibility of such damages.
9.8 Refunds and Legal Compliance
Refunds are governed exclusively by Section 8.6 (Refunds and Payment Obligations). Pai complies with applicable U.S. and Texas consumer-protection laws, including legally required refund provisions. Except where required by law, Pai offers no refunds, credits, or reimbursements for any dissatisfaction, service interruption, or outage.
9.9 Governing Law, Duration, and Enforcement
These limitations are governed by the laws of the State of Texas, without regard to conflict-of-law principles.
No claim, action, or proceeding arising from Pai's services may be brought more than one (1) year after the event giving rise to the claim. After that time, such claims are permanently barred.
All determinations of liability and enforcement under this section are final and made in Pai's sole discretion, in accordance with applicable law.
9.10 Basis of Agreement
These limitations form a fundamental part of Pai's business structure and pricing model. They ensure the platform can operate sustainably while providing affordable access to its tools. You agree that these limitations constitute an essential basis of the bargain between you and Pai.
9.11 Good-Faith and Fair Dealing Statement
Pai strives to provide dependable, secure, and innovative services to couples planning their weddings. However, no platform or AI system can guarantee perfection, uninterrupted performance, or specific outcomes. Pai's responsibility is to empower users with organizational tools, not to assume liability for unpredictable events or third-party actions.
Pai acts in good faith at all times and in accordance with applicable law, seeking fairness, transparency, and the protection of all couples using the platform.
10. Dispute Resolution and Governing Law
10.1 Purpose and Intent
This section governs how any dispute, claim, or controversy between you and Pai will be handled. It ensures that disagreements are resolved fairly, efficiently, and in good faith while protecting Pai's ability to provide reliable, affordable services for all users.
Pai believes most issues can be resolved quickly and informally. Therefore, both you and Pai agree to attempt resolution through good-faith communication before initiating any formal legal action or arbitration.
10.2 Governing Law
These Terms of Service and any dispute arising out of or relating to Pai's platform, products, or AI features shall be governed by and construed in accordance with the laws of the State of Texas, without regard to conflict-of-law principles.
Pai's services are operated exclusively in the United States. You and Pai agree that this agreement to arbitrate and all related obligations are made in interstate commerce and are subject to the Federal Arbitration Act (9 U.S.C. §§ 1–16).
10.3 Venue and Jurisdiction
For disputes not subject to arbitration, both you and Pai consent to the exclusive jurisdiction and venue of the courts in Kendall County, Texas, or the nearest federal district court serving that area. You agree not to file any action against Pai in any other jurisdiction.
This location reflects Pai's principal place of business and provides a reasonable and mutually acceptable forum for resolving disputes.
10.4 Informal Resolution Requirement
Before initiating arbitration or litigation, you must first send a written notice of dispute by email to connect@thepaigow.com.
Your notice must include:
- Your full name and account email;
- A clear written description of the issue; and
- The specific resolution or relief requested.
Pai will acknowledge receipt within seven (7) calendar days of receiving your notice. If Pai does not acknowledge your notice within seven (7) days, this informal resolution requirement will be waived, and you may proceed immediately. Otherwise, both parties agree to attempt good-faith resolution for thirty (30) days before initiating arbitration or legal proceedings.
Pai will make reasonable efforts to communicate clearly and transparently during this review process. Pai will not terminate, suspend, or penalize any user solely for submitting a good-faith complaint or dispute.
This informal process is a condition precedent to arbitration or court filing, and failure to comply may result in dismissal of a claim.
10.5 Binding Arbitration Agreement
Except as provided below or required by law, any dispute, claim, or controversy arising out of or relating to these Terms, Pai's services, or your use of the platform will be resolved exclusively by binding arbitration under the American Arbitration Association (AAA) Consumer Arbitration Rules.
- Arbitration will be conducted by a single neutral arbitrator in Kendall County, Texas, unless both parties agree otherwise.
- Arbitration shall be conducted in English and shall remain confidential, except where disclosure is required by law.
- The arbitrator shall have exclusive authority to decide all disputes regarding interpretation, validity, and enforceability of this arbitration clause.
- Either party may seek injunctive or equitable relief in arbitration as permitted by law to prevent misuse of intellectual property, confidential information, or data.
- This arbitration agreement is governed by the Federal Arbitration Act and is intended to be broadly interpreted in favor of arbitration.
10.6 Class Action and Collective Action Waiver
To the fullest extent permitted by law, you and Pai agree that:
- Any dispute or claim shall be conducted only on an individual basis;
- No class, collective, consolidated, or representative actions are permitted; and
- The arbitrator may not consolidate claims or preside over any form of a representative proceeding.
If a court finds this waiver unenforceable for any reason, the remainder of this arbitration section shall remain in effect, and the unenforceable portion shall be severed.
10.7 Small Claims Exception
Either you or Pai may bring an eligible claim in small claims court in Kendall County, Texas, provided the claim meets that court's jurisdictional limits and is pursued on an individual basis.
This exception does not waive or modify any other provision of this section.
10.8 Arbitration Fees and Costs
Each party will bear its own attorneys' fees and costs unless the arbitrator or applicable law determines that one party acted in bad faith or brought a frivolous claim.
Pai will pay the AAA administrative and arbitrator fees for claims under $10,000, unless the arbitrator finds the claim frivolous.
Nothing in this section prevents Pai from seeking temporary or permanent injunctive relief in a court of competent jurisdiction to protect its intellectual property, confidential information, or data security interests.
Pai may update or change the arbitration administrator or rules (for example, switching from AAA to JAMS) with prior notice to users, provided the changes do not materially affect users' rights.
10.9 Limitation Period
Any claim or cause of action arising out of or related to these Terms or your use of Pai's services must be filed within one (1) year after the event giving rise to the claim occurred.
After this period, such claims are permanently barred. This limitation applies regardless of legal theory and survives termination of your account.
10.10 Severability, No Waiver, and Enforcement
If any part of this section is found invalid or unenforceable, the remaining provisions shall continue in full force and effect.
Pai's failure to enforce any provision of this section shall not be considered a waiver of its rights to enforce it later. All determinations under this section are final and made in Pai's sole discretion, consistent with applicable law.
10.11 Survival of Obligations
This Section 10, along with Sections 6 (Intellectual Property and Indemnity), 8 (Termination), and 9 (Limitation of Liability), will survive the termination or expiration of your account or these Terms.
10.12 Confidentiality of Arbitration
All arbitration proceedings, filings, and awards shall be strictly confidential, except to the extent disclosure is required by law or necessary to enforce an award in court. Both parties agree not to disclose information related to any arbitration without prior written consent from the other party.
10.13 Good-Faith and Fair Dealing Statement
Pai seeks resolution, not conflict. We aim to handle user disputes quickly, fairly, and privately. Binding arbitration provides an efficient and balanced process that minimizes cost and stress for all parties.
Both Pai and its users agree to act in good faith and with fairness throughout any dispute, maintaining respect and transparency in every step.
11. Entire Agreement, Updates, and Modifications
11.1 Entire Agreement
These Terms of Service constitute the entire agreement between you and Pai regarding your use of Pai's platform, products, and services. They supersede all prior agreements, communications, representations, or understandings, whether oral or written, relating to the same subject matter.
No employee, agent, or representative of Pai is authorized to make any oral modifications or promises that alter these Terms. Any such statement is void and without legal effect.
Pai may assign its rights and obligations under these Terms to a successor entity in connection with a merger, acquisition, corporate reorganization, or sale of assets. You may not assign or transfer your rights or obligations under these Terms without Pai's prior written consent.
11.2 Modifications and Updates
Pai may revise or update these Terms from time to time to reflect changes in law, technology, business operations, or services.
When material changes occur:
- Pai will send notice by email to the address associated with your account;
- An in-app notification will appear when you next log in; and
- The updated Terms will be posted on Pai's official website.
Users must explicitly accept any material update before accessing their profile or continuing use of the platform. Pai reserves the right to restrict access until acceptance is confirmed.
Where feasible, Pai will provide at least seven (7) days' advance notice of material changes. Minor or non-material edits (such as formatting or typographical corrections) take effect immediately upon posting. Pai may publish summaries of updates for convenience, but such summaries do not alter the meaning or scope of these Terms.
Pai retains records of all accepted versions of these Terms for audit and compliance purposes.
11.3 Version Control and Effective Date
Each version of these Terms will include an effective date and version identifier. The version accepted at your time of agreement governs your relationship with Pai until you explicitly accept a subsequent update.
All effective versions and update history will be maintained within user profiles and published on Pai's official website.

11.4 Conflicts and Precedence
If any conflict arises between these Terms and any other policy, agreement, or statement issued by Pai, these Terms shall govern and prevail.
Headings are for convenience only and have no legal effect. The failure of Pai to enforce any provision shall not constitute a waiver of that provision or any other rights.
If any provision is found invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain valid and enforceable to the fullest extent permitted by law.
11.5 Related Policies and References
Use of Pai's services is also subject to Pai's Privacy Policy, available at https://thepaigow.com/privacy. The Privacy Policy is incorporated by reference and forms a binding part of these Terms.
